Description
INACTIVE - This course enables students to understand the nature of the company limited by shares, how it is formed, its documenation, the function of directors, shareholders liquidators and what compliance requirements exist.

Learning Outcomes
1. Give instructions to solicitors and accountants about the nature of company required.
2. Comply with the legal requirements in respect of directors, shareholders and compliance requirements including annual audit and annual returns.
3. Assess whether a company should be put into liquidation or not and how this should be implemented, and the effects of such a decision on the rights of shareholders, directors, creditors and employees.

Indicative Content and Learning Activities
Consequences of incorporation, limited companies contrasted with partnerships; Unincorporated associations and bodies corporate, companies limited by shares, statutory companies. Company name, registration, memorandum and articles of association, Table A; Membership; statutory disclosure and Stock Exchange requirements, the Yellow Book, membership, restriction of membership, rights of shareholders, types of meeting of members, conduct of meetings, auditors and annual reports, the role and function of directors, and of liquidators and the process of liquidation..

Companies Acts 1963-2005, European Union (Companies: Group Accounts) Regulations 1992 SI No 201 of 1992, European Communities (Fair Value Accounting) Regulations 2004 SI No 765 of 2004, and, European Communities (International Financial Reporting Standards and Miscellaneous Amendments) Regulations 2005 SI No 116 of 2005.
