Description
This module aims to develop students’ critical understanding of the interaction between law and commercial activity.It introduces students to the legal principles which govern core aspects of business activity including the sale of goods, the supply of services, financing mechanisms for the acquisition of goods and the regulation of cross-border sales.

Learning Outcomes
1. Identify the key principles of commercial law in Ireland
2. Locate Irish commercial law within its European and international contexts
3. Apply the rules of Irish commercial law to provide solutions to common legal problems.
4. Appraise the effectiveness of commercial law as a vehicle for regulating transactions and for protecting the interests of creditors and consumers.

Indicative Content and Learning Activities
Sale of Goods.
Distinguishing between sales of goods and cognate transactions, historical development of sales law;Passage of property and risk in the sale of goods;Title conflicts, the nemo dat rule and the exceptions thereto;Implied terms in the sale of goods;Remedies for the buyer and seller, stoppage in transit;Statutory regulation of the supply of services..

Commercial Finance.
Financing the acquisition of goods – hire-purchase, bills of sale, pledges.

Commercial Conflicts of Law.
Cross-border sales – Introduction to conflicts of law; Regulation 44/2001 and the Rome Regulation on Choice of Law.
